Purpose and acceptance
joli.studio is an online service for creating and managing social media posts, published by ELVN SAS, whose details appear in the legal notice.
Creating an account means accepting these terms in the version published at this address on the day of use. The service is open to individuals and professionals alike and requires the capacity to enter into a contract. If you open an account on behalf of a company, you declare that you have the authority to bind it.
What the service does, and what it does not
joli.studio connects a project’s brand, its strategy, its calendar and its posts: brand analysis, AI-drafted strategy and calendar, a post editor (carousel, image, text, thread, poll), text and image generation, per-platform adaptations, export in the formats of each network, and tracking of metrics entered by hand.
The service never publishes for you: export produces files that are ready to publish, and you publish them yourself, from your own accounts.
Text and images generated by the AI are proposals; they may contain errors. You review them before publishing. A testimonial written by the AI stays flagged as such in review until it has been replaced by a real one or attested as real: it must not be presented as the opinion of an actual customer.
Account and organizations
You sign up with a name, an email address and a password of at least eight characters, or with a Google account. The address must be confirmed through the link sent by email before any AI action; a Google address is already confirmed.
Every account is given its own organization when it is created, and is its administrator. Projects, content, Sparks and the plan belong to the organization, never to a person. There are two roles, administrator and member, and they determine what each person can do.
You are responsible for keeping your credentials confidential and for the actions taken from your account; tell us at bonjour@joli.studio if you suspect unauthorized access.
Your content is yours
The brand assets, text, images and data you bring remain entirely your property. The text and images generated for you belong to you: ELVN claims no rights over them.
ELVN acquires no right over your content other than a strictly technical, non-exclusive right to store, transform and display it in order to provide the service, including by passing it to its AI providers when you start an action. That right ends when you delete the content.
What you guarantee
You guarantee that you hold the rights required over what you upload (logos, photographs, text) and over what you publish: copyright, trademark rights, and the image rights of identifiable people. You make sure your posts comply with the law, in particular the rules on advertising, consumer reviews and misleading commercial practices, as well as the terms of the social networks you publish on.
Prohibited uses
The following are prohibited in particular: producing unlawful, hateful, defamatory or misleading content, including fake reviews presented as real; infringing the rights of a third party; attempting to circumvent the limits of a plan, the counting of Sparks or the security measures of the service; accessing the data of another organization; making automated calls to the service at scale; reselling access to the service outside its intended uses.
Plans and limits
Four plans are published: Trial, Atelier, Studio and Pro. All of them give access to every feature; they differ in the Sparks granted, the number of active projects and the number of members, as described on the Pricing page, which prevails.
| Plan | Sparks | Active projects | Members |
|---|---|---|---|
| Trial | 300 at sign-up, once | 3 | 2 |
| Atelier | 2,000 a month | 3 | 3 |
| Studio | 6,000 a month | 10 | 10 |
| Pro | 20,000 a month | Unlimited | Unlimited |
Changing plan never deletes content: beyond the limits of the new plan, it is the creation of projects and the invitation of members that are refused. No limit applies retroactively.
Sparks
Artificial intelligence actions are paid for in Sparks. The Spark is a unit of use specific to the service: it has no monetary value, it can neither be transferred nor converted into money, and it stays attached to the organization that received it.
- Rates: the cost of each action is published on the Pricing page. The estimated cost is shown before an action starts and the actual cost after; an action costs at least one Spark.
- Grants: 300 Sparks when the organization is created, once only; with a subscription, the volume of the plan every month, on the anniversary of the subscription, including on annual billing. A period’s Sparks are granted only once its payment is confirmed.
- Expiry: the Sparks of a subscription are valid until the end of the monthly period they are granted for and do not carry over. Trial and top-up Sparks do not expire.
- Spending order: an action first uses the Sparks that expire soonest, then the others, from the oldest to the most recent.
- Top-ups: Sparks can be bought at any time, on any plan, including Trial (article 11).
- Empty balance: AI actions wait for a top-up or for the next grant; the rest of the app (reading, writing by hand, calendar, export) remains usable.
Subscription and formation of the contract
Subscribing to a plan and buying a top-up are done from the app, in the organization settings, by an administrator of the organization. There you state whether you are acting as an individual or as a professional, and you fill in billing details: name or company name, address, country, billing email and, for a business in the European Union, EU VAT number, verified before payment. A promo code is entered in the payment window.
The contract is formed when payment is confirmed: the plan takes effect immediately and its Sparks are granted right away. An organization carries only one subscription at a time. Before paying, an individual checks the box that asks for the service to start right away and acknowledges losing the right of withdrawal for the Sparks spent (article 15). The contract is then confirmed by an email that restates its terms and the right of withdrawal.
Term, renewal and notice
The subscription is taken out for one month or for one year, depending on the billing period chosen, and renews tacitly for a period of the same length unless it is canceled before its term. There is neither a minimum commitment beyond the current period nor a notice period.
Under article L. 215-1 of the French Consumer Code, consumer customers are informed in writing, at the earliest three months and at the latest one month before the end of an annual subscription, that they may choose not to renew it.
Prices, VAT and revision
Prices are expressed in euros. For individuals they include all taxes: French VAT is included and the displayed price does not change wherever you are in the European Union; outside the Union, the same price applies, without French VAT. For businesses they are exclusive of tax:
- a business established in France is charged French VAT at 20%, which is recoverable;
- a business established in another member state and holding a valid VAT number falls under the reverse charge and receives an invoice excluding VAT;
- outside the European Union, no French VAT applies; any local tax is calculated at payment.
| Plan | Monthly | Annual, 10 months for 12 |
|---|---|---|
| Trial | €0 | — |
| Atelier | €19 VAT incl. · €15.83 excl. VAT | €190 VAT incl. · €158.33 excl. VAT |
| Studio | €49 VAT incl. · €40.83 excl. VAT | €490 VAT incl. · €408.33 excl. VAT |
| Pro | €149 VAT incl. · €124.17 excl. VAT | €1,490 VAT incl. · €1,241.67 excl. VAT |
| Top-up | Individual (VAT incl.) | Business (excl. VAT) |
|---|---|---|
| 700 Sparks | €9 | €7.50 |
| 2,500 Sparks | €29 | €24.17 |
| 10,000 Sparks | €99 | €82.50 |
The annual subscription is billed ten months for twelve; its Sparks are still granted every month. Prices may be revised: any revision is announced at least thirty days before it takes effect, applies only from the following period, and gives the right to cancel free of charge before that date.
Billing and payment methods
Payment is made by credit card, Apple Pay or Google Pay, in the app, at subscription and then at each renewal, using the payment method on file, which can be changed in the organization settings. Payments are processed by Stripe: card details do not pass through ELVN and are not stored there.
An invoice is issued at each renewal, at each move to a higher plan and for each top-up, in the name of the organization or of the company on file; it remains downloadable in the organization settings.
Moving up to a higher plan, or from monthly to annual billing, takes effect immediately, is billed pro rata for the remaining time and tops up the current period’s Sparks on the spot. Moving down to a lower plan, or from annual to monthly billing, takes effect at the end of the current period and can be undone until then. Except in the cases of articles 13 and 15, Sparks already granted are never taken back.
Failed payment
If a payment is declined, further attempts are made over three weeks and you are told by email and in the app. During that time the plan and its limits are kept, but the new period’s Sparks are granted only once it is paid; remaining Sparks and top-ups can be spent as usual. If the amount is still unpaid at the end of that period, the subscription is canceled and the organization returns to the Trial plan: no data is deleted, purchased Sparks remain available, and only the creation of projects and the invitation of members beyond the limits of Trial are refused.
If a payment is disputed with your bank, or refunded in full, the unspent Sparks it paid for are removed. While a dispute is open, the organization’s purchases are on hold and its subscription is canceled at the end of its term; content stays accessible. Write to us at bonjour@joli.studio to talk about it.
Under article L. 441-10 of the French Commercial Code, any late payment between professionals automatically gives rise to penalties calculated at the refinancing rate of the European Central Bank plus ten points, as well as a flat-rate collection fee of €40.
Cancellation
You can cancel at any time from the organization settings, without giving a reason and at no cost. Cancellation takes effect at the end of the current period: the service stays whole until then, and “Resume” undoes it as long as that date has not passed. At the end of it, the organization returns to the Trial plan; nothing is deleted and purchased Sparks remain.
Archiving a subscribed organization schedules the cancellation for the end of the current period; restoring it before then resumes the subscription. Deleting a subscribed organization cancels the subscription immediately, without a pro rata refund.
ELVN may for its part terminate in the event of a serious breach of these terms, after a formal notice that has gone unheeded for fifteen days, except for unlawful use that warrants immediate suspension.
Withdrawal
Who. The right of withdrawal belongs to the consumer: the person who subscribes as an individual. A business does not have it.
Which contracts. Each subscription to a paid plan concluded in the app (an organization’s first subscription, or a new subscription after a cancellation) and each top-up purchase. A plan change, a move to annual billing and a renewal do not open a new period.
Period. Fourteen days from the day the contract is concluded (article L. 221-18 of the French Consumer Code). If it ends on a Saturday, a Sunday or a public holiday, it is extended to the next working day (article L. 221-19). The deadline appears in the email that confirms the contract and in the organization settings.
Immediate performance. Before paying, the individual checks a single box that carries both the express request to start right away and the acknowledgment of losing the right of withdrawal for what is used:
- for a subscription: “I want to enjoy [plan name] right away, and I acknowledge that I lose my right of withdrawal for the Sparks I spend.”;
- for a top-up: “I want my Sparks right away, and I acknowledge that I lose my right of withdrawal for the ones I spend.”
Without this box, the payment does not go through. A completed AI action is a fully performed service: the right of withdrawal no longer applies to the Sparks it used (article L. 221-28, 1°).
What you get back. The unused share of the price actually paid under the contract, promo code included (article L. 221-25): price paid × unspent Sparks of the contract ÷ Sparks of the contract, rounded down to the cent. The Sparks of the contract are all the ones it gives: one month of the plan for a monthly subscription, twelve months for an annual subscription, those of the top-up. A move to a higher plan paid during the period is part of the contract: its price is added to the price paid, and the Sparks of the contract are those of the new plan. If they are all spent, nothing is owed. Access to the service during the days that have passed is not deducted.
How to withdraw. In the app, with “Withdraw from the contract”, under the subscription card or under the top-up line, in the organization settings (Credits tab), throughout the period: the amount refunded is shown before you confirm. Or by any unambiguous statement sent to bonjour@joli.studio or by mail to ELVN SAS, 60 rue François Ier, 75008 Paris, France, for example using the model form in the appendix. An acknowledgment of receipt is sent to you by email.
Effects. The refund is made no later than fourteen days after we receive your decision, to the payment method used for the purchase (article L. 221-24), and carried by a credit note on the contract’s invoice. The unspent Sparks of the contract are removed; a subscription is canceled immediately and the organization returns to the Trial plan. No content is deleted.
Outside withdrawal, amounts paid are not refunded, except in case of an error on our part.
Availability and changes
The service is provided as is, with the care owed to a tool we use ourselves every day, but without a service level commitment: interruptions for maintenance, or caused by a host or an AI model provider, remain possible. The product evolves, and some features may be changed or removed; a removal that would affect your content would be announced in advance.
Deletion and suspension
You can archive or delete a project, and delete an organization, from their settings; deletion of your account is requested at bonjour@joli.studio. Deletion erases the content and the associated data, subject to legal retention obligations, in particular for invoices.
On our side, an organization’s access may be suspended in the event of a serious breach of these terms, without any data being destroyed; the suspension is lifted as soon as its cause disappears. Failed payment, for its part, is governed by article 13.
Liability
You alone are responsible for the content you publish on social media and for its compliance, including when it was proposed by the AI. ELVN is responsible neither for the decisions of social networks (moderation, reach, account suspension) nor for the third-party websites the service links to, and cannot be held liable for indirect damages, in particular loss of business, of customers or of revenue.
Nothing in these terms limits ELVN’s liability in the event of gross negligence or willful misconduct, nor the rights the law grants to consumers.
Personal data
The processing of personal data is described in the privacy policy, which forms an integral part of these terms.
Changes to these terms
These terms may be amended, in particular to follow changes in the service or in the law. Every version is published at this address with its update date, and a substantial change is announced to account holders before it takes effect. Continuing to use the service after that date means accepting it.
Governing law, disputes and mediation
These terms are governed by French law. In the event of a dispute, an amicable solution is sought first, by writing to bonjour@joli.studio.
If you are a consumer, you may then use a consumer mediator free of charge, under article L. 612-1 of the French Consumer Code: consumer mediator: name and website.
Failing an agreement, the dispute falls within the jurisdiction of the courts of Paris, subject to the protective provisions applicable to consumers.
